Terms and Conditions

These Terms of Service (“Terms”) govern your use of the jonescosman.com website and the services provided by Jones and Cosman Chartered Professional Accountants (“we,” “us,” or “our”). By accessing our website or engaging our services, you agree to these Terms.

Services

We provide e-commerce bookkeeping, corporate tax preparation, personal tax preparation, GST/HST registration and filing, CBSA record custody, exit planning, and consulting services. The specific scope, deliverables, and fees for each engagement are outlined in the applicable engagement letter or service agreement signed prior to commencement of work.

Exit Planning Services

Our exit planning services (Exit Readiness Check-Up, Sale-Ready Financials, and Full Exit Support) provide financial analysis, normalization, and preparation services. We do not act as a business broker, M&A advisor, or securities dealer. We do not provide formal business valuations (which require a Chartered Business Valuator). Our SDE and EBITDA calculations are for advisory purposes and should not be relied upon as a formal valuation.

Exit Readiness Scorecard

The Exit Readiness Scorecard is a free educational tool. The score and recommendations provided are general in nature and do not constitute professional advice. They are based solely on your self-reported answers and have not been verified. The scorecard should not be used as the sole basis for business decisions.

Consulting Calls

Consulting calls ($299 + tax per hour) provide general guidance based on the information you share during the call. Advice given during consulting calls is informal and should not be treated as a substitute for a formal engagement. If you become a client, the consulting fee is credited toward your deposit.

Fees and Payment

All fees are quoted in Canadian dollars unless otherwise specified (GST/HST and CBSA services are quoted in USD). A $500 deposit is required to begin most engagements, with the balance due upon completion of services. Fees for bookkeeping services are billed monthly. Late payments may be subject to interest charges as specified in your engagement letter.

Client Responsibilities

You are responsible for providing accurate, complete, and timely information necessary for us to perform our services. You are responsible for the accuracy of your bookkeeping records and tax filings. We rely on the information you provide and are not responsible for errors arising from incomplete or inaccurate information.

Confidentiality

We maintain strict confidentiality of all client information in accordance with our professional obligations as Chartered Professional Accountants and applicable privacy legislation (PIPEDA). We will not disclose your information to third parties without your consent, except as required by law or professional standards.

Limitation of Liability

Our services are performed in accordance with applicable professional standards. Our liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for any indirect, consequential, or incidental damages.

Intellectual Property

All content on jonescosman.com, including text, graphics, logos, tools (including the Exit Readiness Scorecard), and design elements, is the property of Jones and Cosman CPA and is protected by Canadian copyright law. You may not reproduce, distribute, or create derivative works without our written permission.

Third-Party Links

Our website may contain links to third-party websites (for example, TidyCal for booking, or the Selling From the Beach newsletter). We are not responsible for the content, privacy practices, or terms of these external sites.

Quebec Clients

Due to regulatory requirements, we are unable to accept clients from the province of Quebec at this time.

Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

Changes to These Terms

We may update these Terms from time to time. The “Last updated” date shown at the top of this page reflects the most recent revision. Continued use of our website after changes constitutes acceptance of the updated Terms.
